"Gold's Gym Challenge" Contest
Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN.  A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.  THIS CONTEST IS INTENDED FOR VIEWING IN THE UNITED STATES ONLY AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW.

Participation constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules. The "Gold's Gym Challenge" Contest ("Contest") will begin at 12:01 am Eastern Daylight Time (EDT) on Tuesday, January 1, 2008 ("Contest Start Date"), and ends at 5:00 pm EDT on Monday, March 30, 2008 ("Contest Period").  Contest is sponsored by Gold's Gym International, Inc., 125 East John Carpenter Freeway, Ste. 1300, Irving, TX, 75062 ("Sponsor") who is solely responsible for all aspects of this Contest. 

1. ELIGIBILITY: The Contest is intended for viewing in the United States ("U.S.") only and shall only be construed and evaluated according to U.S. law. Do not enter the Contest if you are not (i) a legal U.S. resident and (ii) age 18 or older as of January 1, 2008 at the time of entry. Employees, officers and directors of Gold's Gym Intl Inc., TRT Holdings, Inc, and Alliance Sweepstakes Services, and their parent companies, affiliates, subsidiaries, agents and advertising and promotion agencies (collectively, "Released Parties"), as well as the immediate family members (parents, children, siblings, spouses) and/or persons living in the same household (whether related or not) of each are not eligible to participate in the Contest. All federal, state and local laws and regulations apply.  Void where prohibited, taxed or restricted by law.

2. CONTEST DESCRIPTION.  The "Gold's Gym Challenge" Contest (the "Contest") is a co-ed physical fitness challenge and popularity Contest. The national Contest begins at 12:01a.m. EDT January 1, 2008 and ends 5:00 p.m. EDT March 30, 2008 (the "end date"). Registration for the Contest at (www.GoldsGymChallenge.com) begins 12:01a.m. EDT, January 1, 2008, and ends 5:00 p.m. EDT January 20, 2008 (the "end date"). Phase I: Public Online Voting period begins 12:01 a.m. EDT March 18, 2008 and ends 5:00 p.m. EDT March 23 2008 (the "end date"). Phase II Public Online Voting period begins 12:01 a.m. EDT March 25, 2008 and ends 5:00 p.m. EDT March 30, 2008 (the "end date").

3. PARTICIPATION: The Contest is open to all eligible U.S. residents who enter the Contest by registering and submitting personal fitness achievement and transformation stories and photographs to be judged by public voters and a panel of Judges (the "Participants"). To participate, all Participants will create and manage their own physical fitness program and online Account Profile (the "Account"), which will include providing personal achievement stories (the "Stories") and photographs (the "Photo-Submission"). Each Participant will access his or her Account on (www.GoldsGymChallenge.com) (the "Contest Site").  
 
4. HOW TO ENTER CONTEST: 

5. DEADLINE FOR ENTRY: Online registration must be received no later than 5:00 p.m. EDT January 21, 2008. The Sponsor assumes no responsibility for lost, late, misdirected or damaged entries, including entries that may be delayed in transmission. No incomplete, illegible or otherwise invalid entries will be accepted.

6. CONDITIONS OF PHOTO-SUBMISSIONS: As a condition of entry, each Participant represents and warrants to Sponsor: a.) that the Photo Submission is wholly original and does not infringe upon or otherwise violate any right of any third party. Participants may submit multiple Photo-Submissions throughout the Contest period. Any Photo-Submission that is late (including delayed data transmissions), forged, illegible, mutilated, incomplete, misdirected, or otherwise not in compliance with these Official Rules will be disqualified. Any Submission that includes content that, in our discretion, is inappropriate, indecent, or obscene will be disqualified from winning this Contest. b) Upon submission, all entrants give permission for their photograph to be hosted on Gold's Gym's website (www.goldsgym.com) and the Contest Site. Sponsor may edit, adapt, copyright, publish, produce, market, and use the submitted Photo-Submission entries in whole or in part for any purpose and in any media without attribution, compensation or royalties. By entering this Contest and submitting a Photo-Submission, each entrant accepts the rules and agrees to be bound by the decision of the judging panel, whose decisions are final in all matters relating to this Contest.

7. HOW TO ENTER PHOTOGRAPHY SUBMISSIONS: At the time of registration, attach one photograph of yourself to your Account Profile. (Only JPG or GIF files can be accepted). We are not able to accept photos by mail post. You may tweak, improve, or modify you entry throughout the Contest.
8. CONDITIONS OF STORY-SUBMISSIONS: By submitting an entry, entrant warrants that the Story (i) does not infringe any copyright, (ii) does not invade anyone's privacy, (iii) does not libel or slander anyone, (iv) does not contain profanities, vulgar language, lewd behavior, or are otherwise obscene or inappropriate for a general audience, and (v) is original and has not previously been published. An original is the product of one's own mind and is not a copy or imitation. Upon submission, all Participants give permission for their Story to be hosted on Sponsor's website and Contest Site. Sponsor may edit, adapt, copyright, publish, produce, market, and use the submitted Story-Submission entries in whole or in part for any purpose and in any media without attribution, compensation or royalties. By entering this Contest and submitting a Story-Submission, each entrant accepts the rules and agrees to be bound by the decision of the judging panel, whose decisions are final in all matters relating to this Contest.

9. JUDGING. Entries will be monitored by Sponsor, and evaluated by a qualified panel of Judges (the "Judges"). The winners are determined 40% by public vote, 60% by Judges' votes. Before, or on Phase I end date of March 18, 2008, the Judges will identify Three (3) Participants who reach the "Ratings Confidence" status and declare them as the Prize Winner Finalists of Phase I of the Contest, and to be entered into Phase II of Contest. On or about, Phase II end date of March 30, 2008, the Judges will identify which of the three Finalist Participants is the First Prize winner; the Second Prize winner; and Third Prize winner. The Judges have the right to disqualify any entry that is not in compliance with these Rules, in the Judges' sole and absolute discretion, and have the option to choose an alternate potential winner.

10. CRITERIA FOR JUDGING: The Promotional Partners' votes will count towards 60% of the selection of the Winners pursuant to the Promotional Partners? determination of which contestant has made the most physical progress based on a combination of factors such as strength increases, positive changes in Body Mass Index numbers, nutritional habits, and personal goals achieved all of which may or may not be posted online.
 POPULARITY: Online Popular Votes (40%). All decisions of the judging panel will be at their sole discretion and will be final in all matters relating to this contest.
 
11. PUBLIC VOTING: The public is invited to vote for a Gold's Gym Challenge Participant. A voter may only enter the Contest using one (1) email address during each of the two Phases of the public online voting time period. Phase I Online Public Voting begins 12:01a.m EDT March 12, 2008 ends 5:00 p.m. EDT March 17, 2008. Phase II Online Public Voting begins 12:01a.m EDT March 18, 2008 ends 5:00 p.m. EDT March 24, 2008. No vote-stuffing is allowed. You can vote only once every 24 hours. All additional votes within that 24 hour time period will be removed. In the event of a dispute regarding who submitted a vote, the vote will be deemed to have been submitted by the owner of the e-mail account. "Owner" means, for purposes of these Rules, the person who is assigned to an e-mail address by an Internet service provider, online service provider, or other organization (e.g., educational institution) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address."

12. SELECTION OF WINNER: Sponsor will rank the Participants by Profile Criteria and Popularity. Each Participant's Story, Photo-Submission and Public Vote will be rated by a panel of Judges. During two voting phases, the public will be asked to select their favorite Gold's Gym Challenge Participant. Each popularity online vote submitted will increase the Entrants "Rating Confidence" status, as measured and determined solely by the Sponsor. At the "end date" of Phase I, Three (3) Finalists who receive the most number of public online votes and meet Sponsor's criteria will be announced and will advance onto Phase II Contest period. At the end date of Phase II, the Three (3) Contest Participants who receive the most votes and meet the panel of Judges' criteria, will be declared the First Prize, Second Prize and Third Prize Winners, subject to verification and compliance with these Official Rules. The announcement will be on or about two (2) days after Contest's end date. The decision of the Judges will be final in all respects.

13. NOTIFICATION: The Three Potential Finalists of Phase 1 of Contest will be notified by telephone or e-mail no later than March 17, 2008. Three Prize Winners of Phase II of Contest will be notified on or about March 26, 2008. Sponsor may require the potential winner to execute an affidavit of eligibility and compliance with contest rules. The winner must execute a response electronically within 24 hours at the time of prize notification. Each potential winner will be required to execute an Affidavit of Eligibility/Originality and Publicity/Liability Release and return within 10 days of receipt, giving Sponsor and its nominees full rights to use: the winner's name, hometown, and photograph or likeness in connection with the winning entry and this contest for all media advertising, Internet/Web site promotion, and/or trade purposes, without further compensation; and an assignment to Sponsor of all intellectual property rights, title and interest in the winning submission. In the event of non-compliance with these requirements the prize will be forfeited and awarded to an alternate winner.

14. PRIZES: One (1) First Prize winner will be awarded a Four Day/Three Night Trip for two to any Gold's Gym location in the world. Includes airfare and hotel, not to exceed $4,000, $500 Cash, a One Year Gold's Gym Membership (ARV) $450, and a Gold's Gear gift certificate (ARV) $500. Total First Prize (ARV) $5,450; One (1) Second Prize winner will be awarded a One Year Membership (ARV) $450 and Gold Star's Gear gift certificate (ARV) $250. Total Second Prize Value (ARV) $700; One (1) Third Prize winner will be awarded a Gold's Gear gift certificate (ARV) $250. Total Third Prize Value (ARV) $250.  Total Prize Package Value (ARV) is $6,400. Prizes are not transferable and no cash substitute is allowed.  Sponsor reserves the right to substitute a prize of equal value.

15. TERMS AND CONDITIONS: This Contest is subject to all applicable federal, state, and local laws. By entering the Contest, entrants agree to release Sponsor and all Released Parties, retailers, distributors and advertising and promotion agencies, and its and each of their respective directors, officers, employees, shareholders and agents from any and all liability, loss, damage or injuries to any person (including death) or property of any kind sustained in connection with their participation in the Contest or from their acceptance, receipt, possession and/or use or misuse of the prize, or for any typographical or other error in the printing, offering or announcement of the prize.  Entrants further acknowledge that said parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee express or implied, in fact or in law, relative to the prize, including, but not limited to, its quality or fitness for a particular purpose.  Any person attempting to defraud or in any way tamper with the Contest mechanics and/or implementation will be prosecuted to the fullest extent of the law.  By participating, entrants agree to waive any right to claim ambiguity in the Contest or these Official Rules. Sponsor reserves the right to disqualify any entrant that Sponsor determines, in its sole discretion, violates these Official Rules.  This Contest is void where prohibited.

16. INTERNET LIMITATIONS OF LIABLILTY: If for any reason, this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupts or affects the administration, security, fairness, integrity or proper conduct of the Contest, the Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process (if applicable), and to cancel, terminate, modify or suspend the Contest in whole or in part, at any time, without notice and award the prize using all non-suspect eligible entries received as of the termination/suspension date.  Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor also is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure or delay of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof.

Sponsor is not responsible for any damage to an entrant's system which is occasioned by participating in this Contest or by downloading any information necessary to participate in the promotion.  Sponsor also is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of the entries in the Contest.  Any dispute or claim arising out of the play of this Contest, or any disputes with site users which arise as a result of the use of this website, shall be governed by the laws of the State of Texas, without respect to conflicts of laws principles.  Any such claim shall be brought and maintained in the federal or state courts of the State of Texas.  If any provisions of the Official Rules are determined by a court of competent jurisdiction to be invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision.  CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute regarding the identity of an individual who actually submitted an online entry, the entry will be deemed submitted by the authorized account holder of the email account.  "Authorized account holder" is defined as the natural person who is assigned to an email account by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.
